Rocky Mountain Parish Health Ministry Bylaws
Article I. Name of Organization
The name of this organization is the Rocky Mountain Parish Health Ministry (RMPHM).
Article II. Offices
The mailing address of the organization shall be the P.O. Box or address of the Secretary of the organization.
Article III. Membership
- Registered Nurses are entitled to regular membership with full voting and membership benefits.
- Health ministers and other professionals are eligible for associate membership without voting privileges.
- Organizations which promote faith community nursing and health ministry are eligible for affiliate membership without voting privileges.
- Dues are set according to membership category by the Executive Board. Dues are submitted to the Treasurer no later than sixty days following the beginning of the fiscal year.
Article IV. Operations
- This organization shall be governed by an Executive Board, as defined in section V a.
- Meetings: The organization shall hold meetings on a periodic basis for the purpose of transacting business, providing education and programs, facilitating networking and/or other activities in support of the mission and goals of Rocky Mountain Parish Health Ministry.
- Special meetings: Special meetings of the organization may be called at any time by the President, a majority of the Executive Board, or by written request of at least twenty percent of the membership. Only those items of business set forth in the notice of the special meeting shall be discussed and acted upon at such meeting.
- Notice of meetings: A written or printed notice stating the place, day and hour of the meeting of the organization shall be posted on the website, delivered by mail and/or email to each member at the address on record.
- Quorum: A quorum for the transaction of business at any meeting will consist of at least twenty percent of regular members and be representative of each geographic region. In the absence of a quorum; the business must be postponed until such meeting at which a quorum is present.
- Voting: Members with voting privileges may vote on all matters of business brought before the organization. After ascertaining the presence of a quorum, (as per section IV e.), the approval of any matter of business will require an affirmative vote of a simple majority (>50%). The voting may be held by mail and/or email by members with voting privileges. Adequate time to receive a vote-by-mail and/or email, and to return it to the organization, will be allowed in all mail-in or email elections.
- Parliamentary Procedures: When questions as to parliamentary procedure arise, Roberts Rules of Order-Revised (current edition) shall govern all meetings.
Article V: Officers
- Officers: The officers shall be elected from the membership and shall be the President, Vice-President, Secretary, Treasurer and Immediate Past-President. They will fulfill the obligations of their office as outlined in sections V e-i. They will meet as an Executive Board, separate from the general meetings of members, to conduct the business of the organization.
- Election and Term of Office: The officers will be elected to one-year terms of office. The officers so elected shall hold office from their installation until their successors shall have been duly elected and qualified. Officers will serve no more than two successive terms in any single office. Any member filling an unexpired term for more than one half of the term, shall be considered to have served one whole term.
- Removal from Office: Removal of an officer from their position on the Executive Board may occur in the following manner: Any member of RMPHM may request removal of an officer by making a motion to that effect at a duly called meeting of the organization. The motion for removal passes with a simple majority of voting members present.
- Vacancies: A vacancy in any office shall be filled by election from regular members at the next scheduled or special meeting at which a quorum is present. Officers elected to fill vacancies shall hold office for the unexpired term of their predecessors, or until their resignation or removal.
- President: The President shall be the principal executive director of Rocky Mountain Parish Health Ministry and shall have general supervision and control over all of the business and affairs of the organization and shall implement policy established by the members. The President or Vice-President shall preside at all meetings, execute all conveyances, notes, contracts, or other instruments authorized by the members of the organization; and perform and discharge all duties incidental to the office of President and such other duties as may be assigned by the members.
- Vice-President: The Vice-President may serve as the President-Elect and may assume the office of the President after completing the term of Vice-President. In the absence of the President or in event that the President is unable to fulfil the duties of the office for any reason, the Vice-President shall perform the duties of the President, and when acting, shall have all the powers of and be subject to all the restrictions upon the President. The Vice-President shall assume responsibility for the annual review of the Bylaws. The Vice-President shall perform such other duties as may be assigned by the President or by the members.
- Treasurer: The Treasurer shall have charge and custody of and be responsible for all funds of Rocky Mountain Parish Health Ministry, shall keep complete and accurate financial records, receive and give receipts for monies due and payable to Rocky Mountain Parish Health Ministry from any source whatsoever, deposit all such monies in the name of the group in such banks or other depositories as shall be selected in accordance with the provisions of these Bylaws, and in general, perform all the duties incidental to the office of Treasurer such other duties as may be assigned by the President or by the members.
- Secretary: The Secretary shall keep all minutes of the meetings of Rocky Mountain Parish Health Ministry, and shall give notice of all meetings in accordance with these bylaws. The Secretary shall also keep, or cause to be kept, all records and shall in general perform all duties incidental to the office of Secretary and such other duties as may be assigned by the President or the members.
- Immediate Past-President: The Immediate Past-President shall provide counsel and advice to the President and other officers and perform such other duties as may be assigned to by the President.
VI: Committees
- Nominating Committee: The Nominating Committee shall be appointed by the Executive Board and represent each geographic region of the organization. The Committee shall prepare a slate of Officers to be presented to the membership at scheduled elections. Nominations from the floor may be made by voting members for candidates who qualify and verify their willingness to run for office. The nominator must submit a written verification of the candidate's willingness to run if the candidate is absent from the meeting.
- Education Committee: The Executive Board will appoint the Chair of the Education Committee. The Education Committee Chairperson is a qualified nurse commissioned by the International Parish Nurse Resource Center as lead faculty for parish/faith community nurse education. The Education Committee members will be recruited from the membership of RMPHM by the Chair of the Education Committee. The Education Committee is responsible for the planning and implementation of beginning and continuing education in parish/faith community nursing.
- Other Committees: The Executive Board may appoint committees to which may be assigned duties and powers as may seem desirable in the interest of facilitating the mission and goals of Rocky Mountain Parish Health Ministry.
- Rules: Each committee may adopt rules of procedure not inconsistent with these Bylaws or with rules adopted by the Executive Board.
VII. Fiscal Affairs
- Tax Status: Rocky Mountain Parish Health Ministry is a non-profit organization under Section 501(c) (3) of the Internal Revenue Code. The organization shall file and pay appropriate taxes, both state and local as required.
- Dues: Dues shall be a factor of membership in Rocky Mountain Parish Health Ministry. The dues shall be collected annually at the beginning of the fiscal year (September 1 to August 31 is considered the fiscal year). Dues may be collected from new members at any time throughout the year, at the same price as for the entire year.
- Additional Funding: The organization may solicit or accept any unrestricted contribution, gift, bequest, or device for financial support of its activities or functions. These monies may come from private individuals, private or public foundations, companies and corporations, in accordance with regulations for 501(c) (3) organizations.
- Contracts: The members may authorize any Officer or Officers to enter into any contract and execute and deliver any instrument in the name of and on behalf of the organization.
- Checks, Drafts, Etc.: All checks, drafts and orders for the payment of indebtedness issued in the name of Rocky Mountain Parish Health Ministry shall be signed by the Treasurer of the organization, in a manner as so authorized by the Executive Board.
- Deposit: All funds of the Rocky Mountain Parish Health Ministry shall be deposited to the credit of the organization in such bank or other depositories as the Executive Board shall approve.
VIII. Chapter Records
- Records: The Rocky Mountain Parish Health Ministry shall keep correct and complete record of accounts and shall also keep minutes of the proceedings of its Executive Board, general and special meetings and committees. The organization shall keep an up to date record of paid members who are entitled to vote, along with current addresses.
- Record Review: The financial records of Rocky Mountain Parish Health Ministry shall be reviewed annually by a person other than the Treasurer. A report regarding the financial records will be presented to the members at the first regular meeting following the completion of the review.
IX. Fiscal Year
The fiscal year for Rocky Mountain Parish Health Ministry will begin on September 1st of each year, and shall end on the following August 31.
X. Amendments to the Bylaws
These Bylaws may be altered, amended or repealed and new Bylaws adopted by the affirmative vote of a simple majority of members with voting privileges and representative of each geographic region. Notice of the proposed amendment or a summary of the changes to be effected shall be delivered to each member of the organization by mail or email at least ten days prior to the vote. Written proxies will be accepted prior to the vote.
XI. Adoption: By simple majority of members with voting privileges.
